These terms cover two things: how you may use our website, auto-act.com, and the general terms that apply when we quote for or work on a project with you. Every project also has its own signed proposal or contract. That document sets out the detail of the work, and it takes priority over these terms.
About us
Auto Act is a digital agency offering AI automation, software, web design and development, marketing, creative design and branding. We have offices in Lahore, Pakistan and Dubai, UAE.
In these terms, “Auto Act”, “we”, “us” and “our” mean [placeholder: legal entity name], [placeholder: registered address]. “You” means anyone who visits our website or works with us.
Accepting these terms
By using our website, you accept these terms. If you do not agree with them, please do not use the site.
If you are using the site or hiring us for a company, you confirm that you have authority to accept these terms for that company.
Using our website
You may browse our website, share links to it and contact us through it. You agree not to:
- use the site for anything unlawful, harmful or fraudulent
- try to break into, overload or disrupt the site or the servers it runs on
- copy, scrape or harvest content or data from the site with automated tools
- send spam, malware or misleading information through our contact form
We work to keep the site accurate and available, but we do not promise it will always be error-free or online. Content on the site is general information about our work. It is not an offer or professional advice for your situation.
Our website content
The text, graphics, logos, design and other content on our website belong to Auto Act or to the people who licensed them to us. Portfolio items may also belong to our clients.
You may view and share our content for personal or internal business use. You may not copy, republish or sell it, or use our name or logo, without our written permission.
Quotes and proposals
Contacting us through the website, by email, phone or WhatsApp does not create a contract. Any quote, estimate, timeline or scope we share is not binding on either side until a written proposal or contract has been signed or accepted in writing by both of us.
We do not publish fixed prices or packages on our website. Every project is quoted on its own.
Project scope and payment
Once signed, your proposal or contract sets out the scope, deliverables, timeline, fees, payment schedule and any other project terms. If it conflicts with these terms, the proposal or contract wins.
Work outside the agreed scope is a change. We will agree any change, and any extra cost or time, with you in writing before we start it.
If payments are late, we may pause work until the account is up to date, as set out in your contract.
Who owns the work
Once your project is paid in full, you own the work we created for you. That includes the code, designs and brand files, and all accounts set up for the project. We will hand over the files, access and logins you need.
Until full payment, we keep ownership of the work in progress.
Some parts of a project may be covered by other people’s licences, for example open-source code, fonts, stock images, plugins or software platforms. Those stay under their own licence terms, and we will tell you about any that matter for your project.
Unless you ask us not to in writing, we may show completed work in our portfolio and marketing. We will never share your confidential information when we do.
After launch
Each project includes a post-launch fix period. During that time we fix bugs and defects in the work we delivered, at no extra cost. Your proposal or contract sets out how long the period lasts and what it covers.
Changes, new features, and problems caused by third-party updates or by changes someone else makes are not covered by the fix period. We are happy to quote for them or to support you on an ongoing plan.
Your responsibilities
To keep a project on track, you agree to:
- give us accurate information, content and feedback on time
- make sure you have the rights to any content, images, data or trademarks you give us
- name a contact person who can make decisions and approve work
- keep your own passwords and accounts secure after handover
- follow the law when you use the work we deliver, including privacy and marketing laws
If delays on your side affect the timeline, we will agree a new timeline with you, and extra costs may apply as set out in your contract.
Third-party tools and services
Many projects rely on third-party tools, such as hosting, domains, AI platforms, plugins, payment gateways and advertising platforms. These are provided under their own terms and prices. Unless your contract says otherwise, you pay for them and hold the accounts.
We choose and set up these tools with care, but we do not control them. We are not responsible for their outages, price changes, policy changes or results, including the output of AI tools and the results of ad campaigns.
Confidentiality
We keep your business information confidential and use it only to deliver your project. You agree to do the same with any confidential information we share with you, such as proposals and pricing. This does not apply to information that is already public, or that the law requires either of us to disclose. Your contract may include a fuller confidentiality clause or a separate NDA.
Limitation of liability
We provide our website “as is”. To the extent the law allows, we are not liable for any loss caused by using it or relying on its content.
For projects, to the extent the law allows:
- we are not liable for indirect or consequential losses, such as lost profits, lost revenue, lost data or damage to reputation
- our total liability for any project is limited to [placeholder: e.g. the fees you paid us for that project in the 12 months before the claim]
Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud.
Indemnity
You agree to cover our reasonable losses and costs if a third party makes a claim against us because of content or materials you gave us, your breach of these terms or your contract, or your unlawful use of the work we delivered.
Ending a project
Either side may end a project as set out in the proposal or contract. If your contract does not say, either side may end it by giving [placeholder: e.g. 14 days’] written notice.
If a project ends early, you pay for the work done and costs incurred up to that date. Ownership passes to you for the work you have paid for in full.
We may also suspend or block access to our website for anyone who breaks these terms.
Privacy
How we handle personal data is explained in our Privacy Policy.
Governing law
These terms, and any dispute about them or your use of our website, are governed by the laws of [placeholder: governing law, e.g. UAE as applied in Dubai, or Pakistan]. The courts of [placeholder: jurisdiction] have jurisdiction over any dispute. Your project contract may name a different law or court, and if so, that contract applies to the project.
If any part of these terms is found to be invalid, the rest still applies.
Changes to these terms
We may update these terms from time to time. We will post the new version on this page and change the “Last updated” date. Changes do not affect a signed proposal or contract unless both sides agree.
